These Terms of Service ("Terms") are a binding agreement between you and {{LEGAL_ENTITY}} ("Izri", "we", "us"), governing your access to and use of the Izri platform and related services (the "Service"). By checking the acceptance box at signup, or by accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
2. The Service
Izri is an AI-powered QA automation platform that generates and analyses software tests from the code and pull requests you submit. The Service relies on third-party large-language-model providers listed on our sub-processors page.
3. Accounts
You must provide accurate registration information and are responsible for the activity and security of your account and any API tokens issued to it. You must be old enough to form a binding contract in your jurisdiction. Notify us promptly of any unauthorized use.
4. Acceptable use
You may not use the Service to violate any law, infringe others' rights, submit code or data you lack the right to submit, attempt to disrupt or reverse-engineer the Service beyond what the open-source licence permits, or resell the Service except as expressly allowed. You are responsible for your end users' compliance with these Terms.
5. Subscriptions, billing & auto-renewal
Paid plans are sold on a recurring subscription. Your subscription renews automatically at the end of each billing period (monthly or annual, as selected) and we charge your payment method on file the then-current price for that plan until you cancel. Payments are processed by Stripe.
You can cancel at any time from your organization's usage/billing settings, which manage your subscription through the Stripe customer portal. Cancellation takes effect at the end of the current billing period. See our Refund & Cancellation Policy for cancellation, refunds, and EU/UK withdrawal rights. We may change prices or plan features with advance notice; changes apply to the next renewal. You are responsible for any applicable taxes.
6. AI-generated output — accuracy disclaimer
The Service produces AI-generated output (generated tests, analyses, scores, and insights). This output may be incomplete, inaccurate, or wrong, and can vary between runs. It is not professional, legal, or security advice. You must independently review and verify AI-generated output before relying on it — including before merging code, shipping, or making any decision based on it. You remain solely responsible for your code and for the use you make of the output.

7. Intellectual property & AI-output infringement carve-out
You retain all rights to the code and content you submit. As between you and us, you own the AI-generated output for your inputs, subject to these Terms and any third-party rights. The Izri software is open-core, licensed as described in our repository; these Terms govern the hosted Service.
We do not warrant that AI-generated output is original or non-infringing. AI models can reproduce third-party material. Our indemnification obligations, if any, expressly exclude claims arising from AI-generated output; you are responsible for clearing and verifying such output before use.

8. Warranty disclaimer
THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that output will be accurate. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IZRI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE OR ANY OUTPUT. Our total aggregate liability for all claims relating to the Service will not exceed the amounts you paid us for the Service in the twelve (12) months before the event giving rise to the claim (or, for free-tier use, USD 100). Nothing in these Terms limits liability that cannot be limited by law.

10. Indemnification
You will defend, indemnify, and hold harmless Izri and its affiliates from and against any third-party claims, damages, and expenses (including reasonable legal fees) arising from your code or data, your use of the Service, your use of AI-generated output, or your breach of these Terms.

11. Termination
You may stop using the Service and cancel any subscription at any time. We may suspend or terminate access for breach of these Terms or where required by law. Sections that by their nature should survive termination (including the disclaimers, liability limits, and indemnity) will survive.
12. Governing law & disputes
These Terms are governed by the laws of {{GOVERNING_LAW}}, without regard to conflict-of-laws rules, and the parties submit to the courts located there, except where mandatory local consumer law provides otherwise.
13. Changes to these terms
We may update these Terms as the Service evolves and will post the new effective date here. Material changes affecting paid subscriptions will be notified before they take effect at your next renewal. Continued use after an update constitutes acceptance.
